Synopsis:   The British Virgin Islands (“BVI”) is a leading jurisdiction for the incorporation of business companies, with over 400,000 active companies currently registered in the jurisdiction. Thus, at any one time, on some continent and in a certain time zone, a decision is being made by an individual or company appointed as a director of a BVI-incorporated company.

The purpose of this Guide is to outline the statutory rules and obligations relating to directors of companies incorporated in the BVI. Attention is given to Part VI of the BVI Business Companies Act 2004 (the “Act”), which is the key part of the Act dealing with directors and their duties.
